Within the area of corporate law and entity formation, we assist with all types of transactions from formation to disposition, including corporate reorganizations, sales and acquisitions, financing, venture capital and early-stage financings-where the firm has represented a number of companies in acquiring traditional and non-traditional financings.

Our corporate clients range from multinational corporations down to start-ups and entrepreneurs, representing an array of publicly and privately held businesses in connection with both specialized and routine corporate legal needs, including mergers, consolidations, reorganizations, spin-offs, exchange offers, sales or acquisitions of assets. Typically we assist either the buyer or the seller in these business transactions from the initial stages through negotiation and preparation of the documents necessary for closing the transactions and provide necessary opinions for its clients in connection with such transactions.

Investment Advisors and Investment Funds: Marjorie Rawls Roberts, P.C. also advises clients with regard to the Investment Advisors Act of 1940 and the Investment Companies Act of 1940, including the applicable exemptions from these Acts, and the private placement of securities. Clients are afforded expert assistance in preparing offering documents and related documents for hedge funds and other investment funds and their advisors. Legislative developments in the U.S. Virgin Islands that may affect investment funds and their advisors are intensely monitored to keep clients abreast of new developments.

Estate Planning and Family Wealth Preservation: Marjorie Rawls Roberts, P.C.‘s estate planning and family wealth preservation practice embraces the design and drafting of wills and trust documents as well as counseling and planning for the preservation and disposition of family wealth. Our attorneys work closely with clients to design and implement a variety of planning techniques for accumulated family wealth, closely-held business, estate tax liquidity, life insurance, charitable giving, enhanced family “asset protection”, and all other areas pertaining to the client’s unique planning objectives. Our attorneys and legal assistants also conduct a probate practice wherein clients’ estates are, if possible, structured to avoid or minimize probate and to provide clients with services regarding financial and medical powers of attorney under U.S. Virgin Islands law. Furthermore, we provide specialized advice in connection with the unique aspects of estate and gift planning for persons who are born or naturalized in a U.S. territory including the U.S. Virgin Islands, which includes the preparation and submission of private letter ruling requests to the Internal Revenue Service.

Exempt International Insurance Companies: Within this practice, we represent clients interested in the formation of exempt international insurance companies (captives) and cell companies. All types of captive insurance allowed under local law are represented. Services range from incorporation of new companies or branch registration of foreign entities (to create the required local corporate entity), to receipt of an insurance license. Assistance is provided through all aspects of the application process with the Division of Banking and Insurance, from completing various required Government forms, recommending types, developing business and financial plans and creating sample policies to meetings with the Government officials and discussions or presentations, as needed, to obtain the desired insurance license. Through partial interests in a related management company, we can also provide for the ongoing management and day-to-day operation of a licensed insurer.

Exempt Companies: Marjorie Rawls Roberts, P.C. is actively involved in the establishment and operation of exempt companies, which are U.S. Virgin Islands corporations that are owned by shareholders who do not reside in the United States or the U.S. Virgin Islands. Exempt companies pay only an annual franchise tax to the U.S. Virgin Islands government of $1,000 and are exempt from all taxes on income from business activities outside the U.S. Virgin Islands and the United States and on U.S. Virgin Islands source income such as interest and dividends. As a tax-free entity, a U.S. Virgin Islands exempt company has many uses, including obtaining coverage of the United States’ network of bilateral investment treaties and ownership of an aircraft for which an “N” registration number is desired from the U.S. Federal Aviation Administration. We incorporate exempt companies, advise on their uses, and set up voting trusts to facilitate “N” registration.

Real Estate: Marjorie Rawls Roberts, P.C. represents foreign investors in the acquisition of U.S. Virgin Islands real estate. Our real estate attorneys routinely assist clients in the negotiation and preparation of real estate leases and like-kind exchanges. Currently, we represent individuals, generally existing clients of the firm’s various practices, in the purchase or sale of residential real property.
